Statutory Agent – Terms of Service

In the event you set up a company using Lawfox.co (the “Site), Ohio requires that you appoint a Statutory Agent and notify the Secretary of State of the same.

You agree and acknowledge, that together with the Lawfox Terms of Use and Lawfox Privacy Policy, collectively incorporated herein by reference, these Statutory Agent – Terms of Service (“Terms”) constitute a legal agreement between you and Lawfox, LLC (“Lawfox”), which is effective on the date you purchase Statutory Agent services from Lawfox.

1. Authorization.

By using Lawfox as a Statutory Agent, you authorize Lawfox and/or its affiliate(s) or third-party service provider to receive service of process, any notices of legal proceedings (e.g., lawsuits, code violations, etc.), other legal notices, and/or government communications on your behalf (collectively, “Communications”). Additionally, you authorize Lawfox to copy, scan, upload and/or transmit any Communications received on your behalf to your email address, mailing address, and/or into your account. You also authorize Lawfox to charge your credit card as set forth in these Terms.

2. Use for communication only.

You agree that Lawfox’s Statutory Agent services do not include acting as a mailing address for anything other than the Communications. You agree that Lawfox’s Statutory Agent services are limited to the receipt and forwarding of only Communications. Lawfox has no obligation to forward any items received that are not Communications, and accordingly Lawfox does not assume any liability to you or any other party for loss, damage and/or non-delivery of such non-Communication items. You assume all liability for such losses, damage and/or non-delivery, regardless of whether you approved or initiated the transmission of such items to Lawfox. You authorize Lawfox, its affiliate(s), and/or third-party providers to dispose of such items in their sole discretion and hereby release all claims against Lawfox, its affiliate(s), and third-party providers related to the same. Additionally, you agree to indemnify Lawfox, its affiliate(s), and third-party providers for all claims, including attorney fees, brought against them, jointly or severally, related to the same. Lawfox may seek reimbursement from you for any and all costs incurred in connection with you using Lawfox as a mailing address for anything other than the Communications.

You shall not represent or suggest in any way, through any means whatsoever, that Lawfox’s address is your place of business, your location of operations or business records, or is a physical address where third parties can locate you. You shall not list Lawfox’s address in your company’s media or any other publication (including but not limited to business cards, brochures, websites, and/or emails).

You acknowledge and agree that while Lawfox may deliver Communications to users, Lawfox does not warrant that such Communications will never be misdelivered. You agree and acknowledge that Lawfox shall not be liable to the intended recipient or anyone else as a result of such misdelivery. If you refuse and/or fail to accept Communications forwarded to you from Lawfox pursuant to these Terms, you agree that you shall bear all costs of return shipping, processing, and resending (if applicable) of the Communications. At Lawfox’s request, you agree that you shall sign or otherwise acknowledge your acceptance of all Communications sent to you by Lawfox, its affiliates, and/or third-party service providers.

3. Updated Terms.

You agree and acknowledge that Lawfox may update these Terms and/or the Statutory Agent services at any time, with or without notice, in Lawfox’s sole discretion. In the event such update will result in an increase in your pricing, Lawfox will provide you with at least 30 days prior notice. In the event that Lawfox decreases the fee for the Statutory Agent services, no pro-ration or refund will be given. You agree and acknowledge that Lawfox may establish general practices and limits concerning use of the Statutory Agent services, and that Lawfox does not store the Communications. You agree that Lawfox shall have no liability for the deletion or failure to store any Communications after the same have been forwarded pursuant to these Terms. You agree that Lawfox may subcontract any part(s) or all of the Statutory Agent services set forth herein without your consent. If you do not agree with any update to these Terms, including but not limited to changes in price, you may terminate your Statutory Agent services as set forth in these Terms. If you do not terminate your Statutory Agent services, you acknowledge and agree that not terminating the same shall constitute your agreement to any change in these Terms and/or the Statutory Agent services, as applicable.

4. Maintaining Your Account.

All fees, including filing fees, that are connected with your account must be paid pursuant to the Terms in place at the time you purchase the applicable Statutory Agent services. Such fees must be paid regardless of whether you receive any mail as a result of the Statutory Agent services, and must continue to be paid until the Statutory Agent services are terminated. You must contact Lawfox with changes to your contact information or changes to the status of your business and/or entity (e.g., if your business is dissolved) within 14 days of such change. You hereby agree and acknowledge that as a condition of Lawfox providing its services as Statutory Agent, you are required to (1) keep your account balance with Lawfox paid up to date; (2) maintain a valid and current credit card on file with Lawfox; (3) maintain your current email address and mailing address on file with Lawfox; and (4) satisfy all other Lawfox Terms of Use and conditions, including but not limited to these Terms.

5. Automatic renewal.

Your valid credit card information must be provided when you purchase the Statutory Agent services, and must remain updated. To maintain consistent Statutory Agent service, your Statutory Agent services automatically renew on the twelve-month anniversary (“Renewal Date”) of the initial purchase date of the same, until the Statutory Agent services are terminated. Your credit card will automatically be charged the current fee for the Statutory Agent services on the Renewal Date (or soon thereafter). In the event your credit card is declined, Lawfox may (but is not obligated to) make up to 4 attempts to bill that same credit card over a 21-day period. In the event Lawfox contacts you prior to the Renewal Date, you agree that Lawfox has no liability with respect to renewing the Statutory Agent services even if you fail to receive or read any correspondence from Lawfox, or even if Lawfox does not send you any correspondence with respect to such renewal.

In the event Lawfox offers any type of trial and/or promotional membership (which may include the Statutory Agent services), the same are subject to these Terms (except as otherwise provided in such trial or promotion). In the event such trial and/or promotion does not have an initial charge, you acknowledge and agree that Lawfox may authorize a charge up to $1 to your payment method for verification of the same. Upon the expiration of the trial or promotional period, your Lawfox membership will automatically renew at Lawfox’s pricing at that time, and you authorize Lawfox to charge your payment method (including your credit card) for such amount at that time, unless you cancel by contacting Lawfox at [TSG email and phone number] prior to such expiration date, IN COMPLIANCE WITH SECTION 6 “TERMINATION”.

6. Termination.

In the event your entity is terminated and/or dissolved, whether voluntarily or involuntarily, you must notify Lawfox at [insert TSG email address] so that Lawfox can cancel the Statutory Agent service. Your failure to notify Lawfox shall result in additional Statutory Agent service fees to be charged against your account, until Lawfox receives notice of such cancellation from you.

You may cancel the Statutory Agent service at any time by contacting Lawfox at [insert TSG email address and phone number], providing written notice that you wish to cancel the Statutory Agent services, and paying a termination fee of $29, which you authorize Lawfox to charge against your credit card. By cancelling the Statutory Agent service with Lawfox, you agree and acknowledge that Lawfox will (1) take necessary steps to resign as your Statutory Agent; (2) cease to act as your Statutory Agent; and (3) stop all Statutory Agent related activities. You will be solely responsible for appointing a new Statutory Agent. Lawfox does not offer full or pro-rated refunds for cancelled Statutory Agent services. You accept and have sole responsibility for notifying all senders (including but not limited to government agencies) of the address for your new statutory agent. You acknowledge and agree that Lawfox is not obligated to retain your data and may delete the same upon receipt of your notice.

You hereby agree and acknowledge that as a condition of Lawfox providing its services as Statutory Agent to you, you are required to (1) pay Lawfox in full for the Statutory Agent services (or any other service and/or product provided to you by Lawfox) and keep your account balance with Lawfox paid up to date; (2) maintain a valid and current credit card on file with Lawfox; (3) provide accurate and complete information and maintain your current email address and mailing address on file with Lawfox; and (4) satisfy all other Lawfox Terms of Use and conditions, including but not limited to these Terms. Failure by you to satisfy the same shall entitle Lawfox, in its sole discretion, to terminate your Statutory Agent service with no notice or liability to you and to resign as your Statutory Agent, which may cause your entity to be dissolved and/or terminated by the Secretary of State. Additionally, Lawfox, in its sole discretion, may terminate the Statutory Agent services if Lawfox is unable to locate you and/or you do not timely respond to requests from Lawfox, if you engage in suspected illegal activity, or for any other lawful reason. In the event that Lawfox terminates your Statutory Agent service  and/or resigns as your Statutory Agent as a result of any reason set forth herein, you agree to release and hold Lawfox harmless, and indemnify Lawfox from any and all claims asserted against Lawfox as a result of the same. Further, you agree to bear all risk related to the same and shall release Lawfox from any and all damage and inconvenience caused or alleged to be caused by such termination and shall waive all claims you may have against Lawfox as a result of the same.

7. Indemnification.

You acknowledge and agree that you release, hold harmless, and shall indemnify Lawfox, its owners, affiliates, subsidiaries, parents, shareholders, members, successors, assigns, representatives, franchisees, officers, directors, agents, attorneys, and employees (each, an “Indemnified Party”), from and against all claims, liabilities, judgments, costs, damages, attorney fees, mediation, arbitration, and litigation fees incurred by an Indemnified Party that arise in any way, in whole or in part, from these Terms, the Statutory Agent services provided hereunder, failure of any third party to deliver mail or other materials, loss and/or damage to your mail (including all claims that result from delays and/or failure to deliver and/or forward mail as a result termination of the Statutory Agent services), your violation (whether alleged or adjudicated) of any law, rule or regulation, and Lawfox being named as a defendant in any action as a result of being your Statutory Agent.

8. Liability Limit.

YOU AGREE AND ACKNOWLEDGE THAT LAWFOX SHALL NOT BE RESPONSIBLE IN ANY WAY FOR ANY DAMAGE, LOSS, NON-DELIVERY, AND/OR DELAY TO MAIL DURING OR AFTER THE SHIPMENT OF SUCH MAIL TO YOU. YOU FURTHER AGREE AND ACKNOWLEDGE THAT LAWFOX SHALL NOT BE RESPONSIBLE FOR MAIL FOR WHICH LAWFOX DOES NOT HAVE ANY RECORD OF RECEIPT. YOU AGREE AND ACKNOWLEDGE THAT LAWFOX SHALL NOT BE RESPONSIBLE FOR OR HAVE ANY OBLIGATION TO INSURE ANY MAIL OR SHIPMENT(S) SENT TO YOU. IN THE EVENT YOU DESIRE INSURANCE IN EXCESS OF THE STANDARD INSURANCE AMOUNT INSURED BY CARRIERS, IF ANY, THEN YOU MUST FIRST AUTHORIZE AND PAY FOR THE SAME IN ADVANCE. LAWFOX SHALL NOT BE RESPONSIBLE FOR ANY LOSS OR INJURY RESULTING FROM, IN ANY WAY, IN WHOLE OR IN PART, ANY NEGLIGENT ACT(S) AND/OR OMISSION(S) IN, DIRECTLY OR INDIRECTLY, RECEIVING, HANDLING, COMPILING, COLLECTING, PROCESSING, COMMUNICATING, AND/OR DELIVERING MAIL, PHYSICAL, OR DIGITAL DOCUMENTS. YOU AGREE AND ACKNOWLEDGE THAT LAWFOX’S MAXIMUM LIABILITY, IF ANY, FOR ANY AND ALL CLAIMS, CAUSES OF ACTION, DAMAGES, LOSSES, JUDGMENTS, ATTORNEY FEES, AND ALL OTHER COSTS RELATED TO THE SAME SHALL NOT BE GREATER THAN THE TOTAL AMOUNT YOU PAID FOR THE STATUTORY AGENT SERVICES, REGARDLESS OF THE NATURE OF SUCH CLAIM(S), CAUSE(S) OF ACTION, DAMAGE(S), LOSS(ES), JUDGMENT(S), ATTORNEY FEES, AND ALL OTHER COST(S).  YOU AGREE AND ACKNOWLEDGE THAT LAWFOX SHALL NOT BE LIABLE IN ANY WAY FOR ANY OTHER LOSS, CLAIM, DAMAGE, OR INJURY RESULTING FROM, IN ANY WAY, IN WHOLE OR IN PART, THESE TERMS OR THE PROVISION OF ANY SERVICES PURSUANT TO THESE TERMS.

Your Authorization

By signing up for and/or using Lawfox Statutory Agent services set forth herein, you represent and warrant to Lawfox that you are the authorized agent of the company or entity for which such Statutory Agent services are being provided, and that you are authorized to enter into an agreement with Lawfox for such Statutory Agent services. In the event you are not authorized as set forth herein, you shall be personally liable for all damages suffered by Lawfox, including attorney fees, as a result of your actions, and you shall fully indemnify Lawfox for the same. Additionally, Lawfox shall not be responsible for proration or repayment of any fees related to such Statutory Agent services.
